Growing costs money. And you knew that Content & Coffee, “the application lifecycle company”, all too well. With big ambitions for the future and a group of interested investors on board, their capital round seemed within reach. But a missing financial plan and a clear valuation were a challenge that needed to be addressed. Together with The Harbour, they set to work to turn their growth plans into a financial success story. The result? A smart financing mix that raised almost half a million euros and prepared themselves for the future.
The challenge
Content & Coffee, an ambitious company that wanted to accelerate its growth trajectory, was ready for the next step. During the initial discussions with The Harbour, it became clear that a valuation of their company was necessary to successfully complete the capital round.
Transparency was key. Although the personal relationships of the business owners created trust from the start, Content & Coffee chose to do a thorough exercise with The Harbour. It was crucial to make it clear to investors what to expect from their investment and to present them with a feasible plan for the coming years. The process with The Harbour provided a clear financial plan and a sharply formulated vision that clearly defined ambitions and expectations.
Our approach
The collaboration with The Harbour took place in two clear phases:
- Development of the financial plan
The first step involved drawing up a comprehensive financial plan. The Harbour team built a detailed model that fully integrated Content & Coffee's growth plans. This model not only provided insight into the impact of their plans, but also calculated exactly how much capital was needed to achieve these ambitions. Thanks to this transparent projection, the entrepreneurs themselves also knew better what steps to take to structure their growth. - Valuation
After completing the financial plan, the valuation of the company started. This process not only provided Content & Coffee with insight into the value of their company, but also provided a firm basis for negotiations with potential investors. Both documents — the financial plan and the valuation — were combined in a clear and professional presentation that served as a basis for discussions with interested parties. - Compiling a financing mix
During the analysis, it turned out that more capital was needed than originally thought. That is why The Harbour put together a financing mix that covered the required amount. This mix consisted of:some text- Fresh capital from private investors.
- A loan from their home bank.
- Co-financing through the ParticipatieMaatschappij Vlaanderen (PMV).
The Harbour not only provided strategic advice, but also assisted Content & Coffee during negotiations with the various financial parties. This resulted in a more efficient and successful process.
The result
The hard work and structured approach paid off. Content & Coffee successfully raised an impressive total amount of almost half a million into funding.
Thanks to the carefully composed financing mix, Content & Coffee not only had the capital needed to achieve their growth plans, but also the certainty of a solid financial structure. In addition, the process provided them with valuable insights into financial projections, valuation and the preparation of a compelling investor file.
The combination of practical support and strategic guidance made this process not only successful, but also an educational experience. Content & Coffee was not only happy with the financial result, but also with the professional growth it experienced during this process.
The legal side of the capital increase was also carefully addressed. Four & Five advocaten supervised the increase in Content & Coffee BV's equity in October 2024 and ensured that everything was legally correct. This included both the notarial part—such as powers of attorney, the BAV and amendment of the articles of association, and the follow-up of publications—as well as the drafting and signing of a Subscription and Shareholders' Agreement between all parties involved. In addition, they reviewed the management agreements and provided their own design proposal for further optimization.
